1. Definitions
In these Terms and Conditions: "Service" refers to legal advisory services provided by Archon, including commercial lease and tenancy advisory, cross-border trade compliance, and dispute resolution and mediation. "User" or "You" means any individual or entity accessing our website or engaging our legal services. "We," "Us," or "Our" refers to Archon and its legal advisors. "Website" means the Archon website and all associated pages and content. "Agreement" means these Terms and Conditions together with any engagement letter or service agreement entered into between the parties.
2. Acceptance of Terms
By accessing or using our website, requesting consultations, or engaging our legal services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, you should not use our website or engage our services.
You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our services. If you are accessing our website or services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms and Conditions.
3. Legal Services Description
Archon provides professional legal advisory services in Thailand focusing on three core practice areas: commercial lease and tenancy advisory covering lease agreement drafting and review, rent escalation analysis, maintenance obligation structuring, and portfolio management; cross-border trade compliance including trade agreement interpretation, customs advisory, tariff classification support, and regulatory updates; and dispute resolution and mediation encompassing case assessment, strategy development, mediation representation, and arbitration coordination.
Services are provided subject to engagement terms agreed upon in writing. Service availability may vary based on practice capacity and matter complexity. We reserve the right to decline engagements that fall outside our practice areas or present conflicts of interest.
4. Engagement Process
Legal services are provided pursuant to written engagement letters that specify scope, deliverables, fees, and timelines. Initial consultations assess matter suitability and establish engagement parameters. No attorney-client relationship is formed until a written engagement letter is executed by both parties.
Consultations and communications prior to formal engagement are provided for informational purposes only and do not constitute legal advice. Any information shared during preliminary discussions may not be protected by attorney-client privilege until a formal engagement is established.
5. Fees and Payment
Legal service fees are specified in engagement letters and vary based on service type and matter complexity. Payment terms include defined engagement fees covering initial consultation, assessment, and primary advisory work. Additional work beyond initial scope is billed on an hourly basis at rates specified in the engagement letter. Payment is due within 30 days of invoice date unless otherwise agreed in writing.
We accept payment via bank transfer in Thai Baht. Late payments may incur interest charges at the rate specified in engagement letters or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for accounts with overdue balances exceeding 60 days.
6. Client Responsibilities
Clients engaging our services agree to provide accurate and complete information relevant to their legal matters, respond promptly to requests for information or documentation, maintain confidentiality of sensitive information shared during engagements, comply with applicable laws and regulations, and pay fees in accordance with engagement terms.
Clients are responsible for making final decisions regarding legal matters. While we provide legal advisory and recommendations, ultimate responsibility for decisions and actions rests with the client. We do not make decisions on behalf of clients unless specifically authorized in writing.
7. Confidentiality
All client information is protected by attorney-client privilege and professional confidentiality obligations under Thai law and legal professional standards. We maintain strict confidentiality of client communications, documents, and information disclosed during engagements. Confidentiality obligations survive termination of engagement relationships.
Exceptions to confidentiality include situations where disclosure is required by law or court order, necessary to prevent imminent harm or illegal activity, authorized by client consent, or required to defend against legal claims or professional complaints.
8. Intellectual Property
All content on our website, including text, graphics, logos, and materials, is owned by Archon or its licensors and protected by copyright and intellectual property laws. Users may view and download website content for personal, non-commercial use only. Commercial use, reproduction, or distribution requires prior written consent.
Work product created during legal engagements, including legal analysis, documents, and strategic recommendations, is provided to clients for their use in connection with the specific matter. Ownership of work product is governed by engagement letters and applicable law.
9. Disclaimers
Legal services are provided on an "as is" basis. While we exercise professional care and diligence, we make no guarantees regarding specific outcomes or results. Legal matters involve inherent uncertainties, and outcomes depend on multiple factors beyond our control, including actions of opposing parties, judicial decisions, and regulatory changes.
Information on our website is provided for general informational purposes and does not constitute legal advice. You should not rely on website content as a substitute for professional legal consultation regarding specific matters. Laws and regulations change frequently, and website information may not reflect current legal developments.
10. Limitation of Liability
To the maximum extent permitted by law, our liability arising from legal services is limited to the fees paid for the specific engagement giving rise to the claim. We are not liable for indirect, consequential, incidental, or punitive damages, including lost profits, business interruption, or opportunity costs.
This limitation does not apply to liability arising from willful misconduct, gross negligence, or fraud. Nothing in these Terms and Conditions excludes or limits liability that cannot be lawfully excluded under Thai law or applicable professional regulations.
11. Termination
Either party may terminate an engagement relationship upon written notice subject to terms specified in the engagement letter. Clients remain responsible for fees and expenses incurred prior to termination. We reserve the right to withdraw from representation if continuation would violate professional obligations, conflict of interest arises, or client fails to fulfill engagement obligations.
Upon termination, we will provide client files and materials in our possession subject to payment of outstanding fees. We retain copies of client files and work product as required by professional record-keeping obligations.
12. Dispute Resolution
Any disputes arising from these Terms and Conditions or legal service engagements shall be governed by Thai law and subject to the jurisdiction of Thai courts. Prior to initiating legal proceedings, parties agree to attempt informal resolution through good faith negotiation.
If informal resolution is unsuccessful, disputes may be submitted to mediation or arbitration as agreed by the parties. The choice of dispute resolution forum shall be made considering the nature of the dispute and the preferences of both parties.
13. Indemnification
Clients agree to indemnify and hold Archon and its advisors harmless from claims, damages, losses, and expenses (including reasonable legal fees) arising from client's breach of these Terms and Conditions, provision of false or misleading information, illegal activities, or third-party claims related to client's actions or decisions.
14. General Provisions
These Terms and Conditions, together with any engagement letter, constitute the entire agreement between parties regarding website use and legal services. If any provision is found invalid or unenforceable, remaining provisions continue in full force and effect. Failure to enforce any provision does not constitute waiver of that provision.
We may assign our rights and obligations under these Terms and Conditions to a successor firm in the event of merger or reorganization. Clients may not assign engagement relationships without our prior written consent.
15. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes become effective upon posting to our website with an updated "Effective Date." Continued use of our website or services following changes constitutes acceptance of modified terms. Material changes affecting existing engagements will be communicated to clients directly.
